Affiliate Agreement

1. Eligibility

You may earn commissions on Agent Midas referrals when all of the following are true: (a) your subscription is current and in good standing (not in default per Section 6.A); (b) your Stripe Connect (or equivalent payout rail) account is verified and able to receive payouts; (c) you have acknowledged the minimum payout threshold; and (d) you have accepted this Affiliate Agreement in writing through your dashboard.

Acknowledgment of the minimum payout threshold and acceptance of this Affiliate Agreement are prerequisites to receiving any commission payment. Commissions accrued prior to acknowledgment and acceptance will be held in your account ledger until both requirements are satisfied.

2. Commission Rate

Agent Midas pays affiliates 50% of the gross subscription revenue on Tiers 1-2 (Consultant) and 75% on Tiers 3-6 (Agency Builder) from each direct referral, subject to the Shared Income Accelerator routing described in Section 3. A Consultant who reaches $10,000 in Monthly Recurring Revenue is promoted to the 75% rate. Commissions on cancellations, refunds, or chargebacks are reversed.

3. Shared Income Accelerator Routing

The first two qualified referrals you enroll are yours to keep, every dollar of commission accrues to your account. The third qualified referral passes up to your sponsor. The pattern then repeats: keep two, pass one, keep two, pass one. This routing is automatic and irrevocable once a commission is recorded.

4. Reserve Holds

All commissions are held in reserve for 45 days from the original transaction to cover potential chargebacks or refunds. After the reserve period, 80% of the held amount is released for payout and 20% remains in the reserve as an instant-commission buffer. Commissions on high-value transactions (over $500) may be held for an additional 14 days for manual review.

5. Payout Method

Payouts are issued via the payment rail you have connected, Stripe Connect, Plaid bank transfer, or BitPay cryptocurrency. A flat $10 processing fee is deducted from each payout to fund the affiliate insurance pool. Payouts are issued weekly for Badge 0–1 affiliates and daily for Badge 2+ affiliates.

6. Suspension and Termination

Agent Midas may suspend or terminate your affiliate eligibility immediately upon (a) cancellation of your subscription, (b) three or more chargebacks against your referred transactions, (c) detection of fraudulent referral activity by the SENTINEL-PAY engine, or (d) violation of these terms. Accrued commissions for suspended affiliates are held until reactivation or applied against past-due subscription dues at your request.

6.A Default State

An affiliate account is considered "in default" if the subscriber's subscription fee is unpaid past the grace period defined in the Terms of Service Section 4.5. While in default, no commissions accrued or otherwise payable will be disbursed. Commissions accrued during default remain in your account ledger and will be released upon reactivation of your subscription in good standing.

6.B Election to Apply Commissions to Subscription Fee

An affiliate may elect, in writing through their dashboard settings, to have their monthly subscription fee deducted from accrued commissions in lieu of charging their payment method. If accrued commissions are insufficient to cover the subscription fee, the remaining balance is charged to the payment method on file. This election remains in effect until rescinded in writing by the affiliate.

7. Tax Reporting

Affiliates who accumulate or more in commissions during a calendar year are required to provide a valid tax identification number for IRS Form 1099 reporting. Failure to provide a valid Tax ID will result in payouts being held until the requirement is satisfied.

8. Changes to This Agreement

Agent Midas reserves the right to update this Agreement with 30 days' notice to affiliates. Continued participation in the affiliate program after the notice period constitutes acceptance of the updated terms.
